1. Scope
These terms apply to quotations, orders and the supply of chemical raw materials through this website and by correspondence with our sales team. Where an agreed order confirmation sets out different terms, that confirmation prevails for the order concerned.
2. Quotations
Quotations are prepared per specification, quantity and delivery term and are valid for the period stated in the quotation. Where no period is stated, a quotation remains subject to confirmation of price and availability at the time of order, because raw material markets move.
3. Orders and acceptance
An order becomes binding when we confirm it in writing and, where required, when the agreed advance payment has been received. We may decline an order where the requested specification cannot be produced or supplied to the standard described.
4. Specification, samples and analysis
Goods are supplied against the confirmed specification, and a certificate of analysis is issued for each batch. Where a sample has been released by your laboratory, that approved sample is the reference for the goods supplied. Figures given for assay, particle size or moisture describe the batch, not an average of the product family.
5. Prices and payment
Prices are quoted in the currency stated on the quotation and exclude duties, taxes and charges levied at destination unless expressly included. Payment terms are those confirmed on the order. Fixed retail prices are not published because each grade is quoted per enquiry.
6. Packing, lead time and delivery
Packing is as confirmed on the order — sample bag, 25 kg bag, fibre drum or 1000 kg IBC container, neutral or buyer-branded. Lead time runs from the later of order confirmation and receipt of the agreed payment, and is confirmed per order. Delivery terms follow the Incoterm stated on the quotation or order confirmation.
7. Title and risk
Title and risk pass in accordance with the agreed Incoterm and applicable law.
8. Inspection and claims
Please inspect the goods on arrival and check quantity and packing against the packing list. A claim relating to quality, quantity or packing should be notified to us promptly after delivery and supported by the lot number, photographs and, where possible, the retained sample. Goods should not be processed or repacked before a claim is raised, because doing so makes the material impossible to compare with the retained sample.
9. Compliance and use
The buyer is responsible for ensuring that the goods are handled, stored, used and disposed of in accordance with the safety data sheet, local regulations and the requirements of the buyer’s own process. Our products are supplied as raw materials for industrial or food-grade use as stated on the technical data sheet, not as finished consumer goods.
10. Force majeure
Neither party is liable for delay or failure caused by events outside its reasonable control, including transport disruption, port congestion, industrial action and regulatory action, provided the affected party informs the other without undue delay.
11. Limitation of liability
Our liability in relation to a supply is limited to the value of the goods concerned. We are not liable for indirect or consequential loss, including loss of production or loss of profit, except where liability cannot be limited by law.
12. Governing law
These terms are governed by the laws of the People’s Republic of China. Disputes that cannot be resolved by discussion will be referred to the competent court at the supplier’s place of business.
13. Contact
Questions about these terms, or about a specific order, can be sent to the contact details shown on our contact page.
Specific commercial terms agreed in a signed contract or pro-forma invoice take precedence over these website terms.
